1) Who we are

Smart Trading Bots (“we,” “us,” “our”) provides software and services that help clients connect their own brokerage accounts to automated trading strategies for educational and research purposes.

2) What you’re buying

• Software License (EA): You receive a compiled .ex5 Expert Advisor with a one-time password (OTP) that locks the license to one device (hardware/installation fingerprint).

• Operational Support: Guidance via WhatsApp to install/activate and connect your MT5.

• Performance Fee Service: Optional monthly performance fee based on results in your account, as defined below.

We do not take custody of funds, open accounts for you, or give investment advice.

3) Eligibility

You must be (a) of legal age, (b) the lawful owner/controller of the trading account you connect, and (c) allowed to use automated tools under your broker’s terms and your local laws. We may refuse service at our discretion (e.g., compliance, risk, capacity).

4) Payments & pricing

• Setup Fee: Payable in USDT (TRC-20 unless otherwise stated) before delivery.

• Performance Fee: 10% of monthly Net Profit above High-Water-Mark (HWM), billed in USDT.

• Net Profit: Sum of closed trade PnL ± swaps/commissions in account currency for the period, for our strategy/magic numbers only.

• HWM: The highest cumulative Net Profit level on which you have already paid a performance fee. Fee for a month = 10% × max(0, CurrentCumulativeNetProfit − HWM).

• Due date: Within 3 calendar days of our monthly statement/invoice.

• Late/Non-payment: We may suspend or disable your license until fees are paid.

All fees are exclusive of taxes. You are responsible for any taxes, charges, or exchange costs.

5) Delivery & activation

• Delivery is the .ex5 file plus an OTP.

• Once the OTP is used, the license binds to the first device.

• One discretionary rebind may be permitted (e.g., hardware/VPS change). We may charge a rebind fee.

• You must add our licensing URL to MT5 Allow WebRequest for activation/checks.

6) Refunds

• Setup Fee: Refundable only if we fail to activate your license within 48 hours after you complete the required steps (payment confirmed, correct MT5 setup, WebRequest enabled).

• After activation/OTP use, the setup fee is non-refundable.

• Performance fees are based on the monthly statement and are non-refundable once paid.

7) License & acceptable use

• Single-device, single-user license (unless a multi-seat license is purchased in writing).

• You may not share, resell, rent, copy, decompile, reverse engineer, or circumvent license checks.

• You must use the EA only on symbols/brokers/platforms legally permitted to you.

• We may include technical safeguards (online checks, kill-switch) to enforce licensing and unpaid accounts.

8) Risk disclosure (read this)

Trading CFDs/FX/metals is high risk. You can lose all or more than your initial capital due to leverage. Past performance does not guarantee future results. Our tools and materials are educational and informational; they are not investment advice, portfolio management, or a solicitation to trade. You are solely responsible for your decisions, account settings, and risk.

9) Service behavior & limitations

• Execution, spreads, swaps, slippage, leverage, symbol specs, and outages are controlled by your broker and infrastructure, not by us.

• Results may differ from examples due to latency, liquidity, or account type.

• We do not guarantee uptime, profits, fills, or specific outcomes.

• We may modify, pause, or discontinue features to maintain security or compliance.

10) Copy-trading / automation specifics

If you connect via copier or automation, you authorize trade placement on your account within the risk parameters you select. You can disconnect at any time. Disconnects, VPS failures, or platform updates can affect results; ensure your setup remains online and stable.

11) Data & privacy (summary)

We may process limited data (e.g., account ID, broker server, device fingerprint, licensing token, contact info) to activate licenses, provide support, calculate fees, and prevent abuse. We don’t store your trading passwords. See our Privacy Policy for details.

12) Compliance & sanctions

You confirm you are not restricted by applicable sanctions and will comply with AML/KYC requests if reasonably required. We may decline or terminate service to comply with law.

13) Termination

We may suspend or terminate your license for: (a) non-payment, (b) abuse, (c) violation of these Terms, (d) legal/compliance risk, or (e) technical misuse. You may stop using the software at any time; fees already due remain payable.

14) Intellectual property

All software, content, brand elements, and documentation are our intellectual property. Your license is limited, revocable, non-transferable.

15) Disclaimers & liability limits

• The software is provided “as is” and “as available.”

• To the fullest extent permitted by law, we disclaim all warranties and are not liable for indirect, incidental, special, or consequential damages, lost profits, or trading losses.

• Our total liability, if any, is capped at the setup fee you paid in the 12 months preceding the claim.

16) Changes to Terms

We may update these Terms. If changes are material, we’ll note the new effective date on this page. Continued use after changes means you agree to the new Terms.

17) Governing law & disputes

These Terms are governed by the laws of Colombia, without regard to conflict-of-law rules. Disputes shall be resolved in the courts of Colombia, unless otherwise required by mandatory law.

18) Entire agreement

These Terms, plus any order confirmation and our Privacy Policy, are the entire agreement between you and Smart Trading Bots regarding the software and services.
